  1. NOM – Le nom de l'association est l'Association canadienne de linguistique Inc.
  2. OBJET – L'Association a pour but de promouvoir l'étude des langues et de la linguistique au Canada.
  3. LANGUES OFFICIELLES – Les langues officielles de l'Association sont le français et l'anglais.
  4. AFFILIATION – L'Association se compose de quatre catégories de membres: les membres réguliers, les membres honoraires, les membres étudiants et les membres institutionnels.
    1. Quiconque paie la cotisation peut devenir membre.
    2. Le Conseil d'administration peut accorder le titre de membre honoraire aux personnes qui ont rendu des services signalés à l'Association.
    3. Seul les membres en règle ont le droit de soumettre des communications au congrès annuel de l'Association.
  5. MEMBRES DE LA DIRECTION – Les membres de la direction de l'Association sont: le/la Président(e), le/la Vice-Président(e), la Trésorière (ou le Trésorier), le/la Secrétaire, et la Directrice (ou le Directeur) de la revue de l'Association.
  6. FONCTION DES MEMBRES DE LA DIRECTION – Les membres de la direction sont habilités à représenter l'Association dans ses engagements externes.
  7. COMPOSITION DU CONSEIL D'ADMINISTRATION – Le Conseil d'administration se compose du/de la Président(e), du/de la Vice-Président(e), du/de la Président(e) sortant(e), de la Trésorière (ou du Trésorier), du/de la Secrétaire, de la Directrice (ou du Directeur) de la revue, de la Co-directrice (ou du Co-directeur) de la revue, du/de la Président(e) du Comité de programme, de deux membres associés, et d'un membre étudiant.
  8. DURÉE DES MANDATS DES MEMBRES DU CONSEIL D'ADMINISTRATION
    1. Le mandat du/de la Président(e) est de deux ans. Le/laVice-Président(e) est élu(e) pour un mandat de deux ans et succède au/à la Président(e) à la fin du mandat de ce dernier. Les mandats respectifs du/de la Président(e) et du/de la Vice-Président(e) ne peuvent être renouvelés.
    2. La Trésorière (ou le Trésorier) et le/la Secrétaire sont élu(e)s pour un mandat de cinq ans et sont rééligibles à leur poste respectif. Le mandat de la Directrice (ou du Directeur) de la revue de l'Association est de trois ans. Le Co-directeur (ou la Co-directrice) est élu(e) pour un mandat de trois ans et succédera à la Direction à la fin du mandat du Directeur (ou de la Directrice). Dans la mesure du possible la Co-directrice (ou le Co-directeur) représentera la langue officielle autre que celle de la Directrice (ou du Directeur). Les mandats respectifs du Directeur (ou de la Directrice) et du Co-directeur (ou de la Co-directrice) sont non renouvelables.
    3. Les deux membres associés sont élus pour des mandats de deux ans, non renouvelables. Les mandats de ces membres alternent afin que les deux ne soient pas élus la même année.
    4. Le/la Président(e) du Comité du programme est élu(e) pour un mandat de trois ans, et est rééligible pour un deuxième mandat consécutif.
    5. Le membre étudiant est désigné par le Conseil d'administration pour un mandat d'un an, non renouvelable.
  9. FONCTIONS ET POUVOIRS DU CONSEIL D'ADMINISTRATION – Le Conseil d'administration est chargé de gérer les affaires de l'Association. Ses fonctions et ses pouvoirs sont les suivants:
    1. Le Conseil fixe et perçoit les cotisations qu'il juge nécessaires au financement de l'Association.
    2. Le Conseil engage les dépenses qu'il juge nécessaires aux activités de l'Association.
    3. Le Conseil constitue les comités spéciaux qu'il juge nécessaires à la promotion des buts de l'Association.
    4. Le Conseil est chargé d'établir l'ordre du jour del'Assemblée générale de l'Association.
    5. Le Conseil désigne le coordonnateur (ou la coordonnatrice) local(e) de l'Assemblée générale annuelle et les délégués auprès d'autres organismes.
    6. Le Conseil prend toute autre mesure qu'il juge nécessaire au maintien, au financement et à la poursuite des activités del'Association.
  10. LA TRÉSORIÈRE (OU LE TRÉSORIER) recueille et débourse les fonds et tient à jour les livres de comptes de l'Association. La Trésorière (ou le Trésorier) peut constituer un comité pour lui prêter main-forte dans l'exécution de ses tâches.

    LE/LA SECRÉTAIRE tient à jour la liste des membres, dirige les élections, organise le scrutin, et tient à jour les archives de l'Association. Le/la Secrétaire peut constituer un comité pour lui prêter main-forte dans l'exécution de ses tâches.

  11. DIRECTRICE (ou DIRECTEUR) DE LA REVUE – La Directrice (ou le Directeur) de la revue de l'Association est responsable du contenu de la revue de l'Association. Il/elle doit désigner un Rédacteur (ou une Rédactrice) des comptes rendus, un Rédacteur (ou une Rédactrice) des notules et un Comité de rédaction qui l'aidera à gérer les affaires de la revue.
  12. COMITÉS PERMANENTS – L'Association compte deux comités permanents: le Comité des candidatures et le Comité deprogramme.
    1. Le Comité des candidatures se compose du/de la Président(e) sortant(e), qui en assume la présidence, et de deux personnes élues parmi les membres de l'Association.
    2. Le Comité de programme comprend quatre personnes avec droit de vote à ce comité et un(e) Président(e) sans droit de vote. Ces cinq personnes sont élues parmi les membres de l'Association.
  13. DURÉE DES MANDATS DES MEMBRES DES COMITÉS PERMANENTS
    1. Les membres du Comité des candidatures sont élus pour deux ans et ne sont pas rééligibles pour un deuxième mandat consécutif. Les mandats de ces membres alternent afin que les deux ne soient pas élus la même année.
    2. Les membres du Comité de programme sont élus pour un mandat de quatre ans. Un membre votant de ce Comité est élu chaque année. Les membres du Comité de programme ne sont pas rééligibles pour un deuxième mandat consécutif.
  14. FONCTIONS DES COMITÉS PERMANENTS
    1. Le Comité des candidatures propose un(e) candidat(e) pour chacun des postes électifs de l'Association.
    2. Le Comité de programme choisit les communications qui seront présentées au congrès annuel de l'Association.
  15. ÉLECTIONS – Lors de l'assemblée générale annuelle, le Comité des candidatures propose un(e) candidat(e) pour chacun des postes électifs de l'Association qui devient vacant. Les membres en règle peuvent aussi proposer des candidatures, soit (a) par correspondance,soit (b) devant l'assemblée générale.
    1. Une candidature par correspondance doit être présentée par écrit avec la signature du/de la candidat(e) et l'endossement de deux membres en règle. Elle doit parvenir au/à la Secrétaire, avec les trois signatures requises, au plus tard un mois avant l'assemblée générale. Le/la Secrétaire communique immédiatement cette nouvelle candidature au Comité des candidatures.
    2. Une candidature proposée devant l'assemblée générale se fait selon une proposition ordinaire; le/la candidat(e) doit avoir accepté qu'on le/la propose. L'assemblée générale entérine les propositions du Comité des candidatures pour les postes oùil n'y a qu'un(e) candidat(e). Ces candidat(e)s entrent en fonction immédiatement. Au cas où il y a plus d'un(e) candidat(e) pour un poste, il faut procéderà un vote par correspondance.
  16. RÉUNIONS ET ASSEMBLÉE – L'Association a un Congrès annuel au cours duquel elle tient son Assemblée générale. Le quorum lors de cette Assemblée est constitué des personnes qui y sont présentes. Le Conseil d'administration doit aussi se réunir au moins une fois par année.
  17. AMENDEMENTS AUX STATUTS – Le Conseil d'administration ou dix membres en règle de l'Association peuvent proposer des amendements aux Statuts. Dans les deux cas, les amendements proposés, avec des attendus les motivant, doivent être présentés par écrit au/à la Secrétaire et sont soumis à un vote par correspondance s'adressant aux membres en règle. Le vote est présidé par le/la Secrétaire. Les propositions d'amendements doivent être envoyées aux membres au plus tard un mois après leur réception par le/la Secrétaire. La durée du scrutin est d'un mois après la date d'envoi. Pour être accepté, un amendement doit recevoir l'appui d'au moins les deux tiers des suffrages exprimés. Un amendement qui a été accepté entre en vigueur immédiatement.

  1. NAME – The name of the Association shall be the Canadian Linguistic Association Inc.
  2. OBJECT – The object of the Association shall be to promote the study of languages and linguistics in Canada.
  3. OFFICIAL LANGUAGES – The official languages of the Association shall be English and French.
  4. MEMBERSHIP – There shall be four classes of members: regular members, honorary members, student members and institutional members.
    1. Membership of the Association shall be open to any person on payment of dues.
    2. The Executive Council may grant the title of honorary member to persons who have rendered outstanding service to the Association.
    3. Only members in good standing may submit papers to the annual conference of the Association.
  5. OFFICERS – The officers of the Association shall be the President, the Vice-President, the Treasurer, the Secretary and the Editor of the journal of the Association.
  6. DUTIES AND POWERS OF OFFICERS – The officers are empowered to represent the Association in its external relations.
  7. COMPOSITION OF THE EXECUTIVE COUNCIL – The Executive Council shall consist of the President, the Vice-President, the immediate past President, the Treasurer, the Secretary, the Editor and Co-Editor of the journal of the Association, the Chairperson of the Program Committee, two Members-at-large, and a student member.
  8. TERMS OF OFFICE OF MEMBERS OF THE EXECUTIVE COUNCIL
    1. The term of office of the President shall be two years. The Vice-President shall be elected for a term of two years and shall succeed to the presidency at the expiration of the President's term of office. The terms of office of the President and the Vice-President shall not be renewed.
    2. The Treasurer and the Secretary shall be elected to serve for five years, and may serve more than one consecutive term in their respective positions. The term of office of the Editor of the journal of the Association shall be three years. The Co-Editor shall be elected for a term of three years and shall succeed to the editorship at the expiration of the Editor's term of office. Whenever possible, the Co-Editor will represent the official language other than that of the Editor. The terms of office of the Editor and the Co-Editor shall not be renewed.
    3. The two Members-at-large shall be elected to serve for two years and shall not serve more than once in succession. The terms of office of these members shall overlap so that both are not elected in the same year.
    4. The Chairperson of the Program Committee shall be elected to serve for three years, and may serve a second consecutive term.
    5. The student member shall be appointed by the Executive Council to serve for a term of one year, and shall not be eligible to serve a second term.
  9. DUTIES AND POWERS OF THE EXECUTIVE COUNCIL – The Executive Council is charged with conducting the affairs of the Association. Its duties and powers shall be the following:
    1. The Council shall set and levy such dues as it deems necessary to finance the Association.
    2. The Council shall make such expenditures as it deems necessary to operate the Association.
    3. The Council shall establish such ad hoc committees as it deems necessary for the furtherance of the aims of the Association.
    4. The Council shall be responsible for the agenda of the Annual General Meeting of the Association.
    5. The Council shall appoint the local arrangements coordinator for the Annual General Meeting and delegates to other organizations.
    6. The Council shall take any other action it deems necessary for the maintenance, financing and operation of the Association.
  10. THE TREASURER shall collect and disburse funds and maintain the financial records of the Association. The Treasurer may establish and name a committee to assist in these tasks.

    THE SECRETARY shall maintain the membership rolls, conduct elections and voting, and maintain the archives of the Association. The Secretary may establish and name a committee to assist in these tasks.

  11. THE EDITOR OF THE JOURNAL shall be responsible for the contents of the journal of the Association. The Editor shall name a Book Review Editor, a Squibs Editor, and an Editorial board to assist in the conduct of journal affairs.
  12. STANDING COMMITTEES – There shall be two standing committees of the Association: the Nominating Committee and the Program Committee.
    1. The Nominating Committee shall consist of the immediate past President as Chair, and two persons elected from the membership of the Association.
    2. The Program Committee shall consist of four voting members and a non-voting chair. These five people shall be elected from the membership of the Association.
  13. TERMS OF OFFICE FOR STANDING COMMITTEES
    1. The members of the Nominating Committee shall be elected for two-year terms and shall not serve more than once in succession. The terms of these members shall overlap so that both are not elected in the same year.
    2. The members of the Program Committee shall be elected for four-year terms. One voting member shall be elected each year. Members of the Program Committee shall not serve more than once in succession.
  14. DUTIES OF STANDING COMMITTEES
    1. The Nominating Committee shall nominate one person for each elective position within the Association.
    2. The Program Committee shall decide which scholarly papers are to beaccepted for presentation at the Annual General Meeting of the Association.
  15. ELECTIONS – The Nominating Committee shall propose to the Annual General Meeting a nominee for each of the vacant elective positions of the Association. Members in good standing may also make nominations either (a) by mail or (b) from the floor.
    1. A nomination made by mail must be received by the Secretary one month before the Annual General Meeting, and must include the signature of the nominee, as well as that of two members in good standing. The Secretary shall immediately inform the Nominating Committee of this new nomination.
    2. A nomination from the floor of the Annual General Meeting shall be proposed by a standard motion; the nominee must have agreed to the nomination. The Annual General Meeting shall approve the nominations proposed by the Nominating Committee when there is only one nominee for each position. These candidates shall take up their duties immediately. If there is more than one nominee for a position, an election by mail ballot shall be conducted.
  16. MEETINGS – There shall be an Annual Conference of the Association during which there shall also be an Annual General Meeting. A quorum at the Annual General Meeting shall consist of those present at the meeting. There shall also be at least one meeting per year of the Executive Council.
  17. AMENDMENTS to this Constitution may be proposed by the Executive Council or by ten members of the Association in good standing. In either case, proposed amendments, with the explanatory "whereas" clauses, must be submitted in writing to the Secretary and shall be voted on by mail ballot conducted among members in good standing by the Secretary. Motions for amendments must be sent to the membership by the Secretary no later than one month after the date of receipt by the Secretary. Votes must be cast within one month from the mailing date of the ballots. To be adopted, an amendment must be approved by at least two-thirds of the votes cast. An adopted amendment shall take effect immediately.

  1. TENUE DES RÉUNIONS ET DES ASSEMBLÉES - Les réunions de l'Association, comprenant l'Assemblée générale annuelle, les réunions du Conseil d'administration et les réunions des comités, sont régies par le code Robert des règles de procédure ou par une procédure parlementaire acceptée par le Conseil d'administration.
  2. TENUE DES ÉLECTIONS PAR CORRESPONDANCE - Au cas où il y a plus d'un(e) candidat(e) pour un poste électif de l'association, des élections ont lieu comme suit:
    1. Au plus tard un mois après l'Assemblée générale, le/la Secrétaire envoie par la poste à tous les membres en règle la liste des candidat(e)s, accompagnée d'une courte biographie qu'ils/elles doivent lui faire parvenir.
    2. La durée du scrutin est d'un mois après la date d'envoi.
    3. Le/la candidat(e) qui obtient le plus de votes est élu(e) et entre en fonction immédiatement.
  3. RÉVOCATIONS
    1. Toute personne désignée à un poste par le Conseil d'administration peut, en tout temps, être démise de ses fonctions par le Conseil.
    2. Toute personne qui occupe une charge élective peut, en tout temps, être démise de ses fonctions selon les procédures appliquées pour amender les statuts.
  4. PROPOSITIONS
    1. Tout membre de l'Association, avec l'appui d'un autre membre, peut soumettre une proposition à l'Assemblée générale annuelle.
    2. Une proposition est adoptée à la majorité simple.
    3. Le Conseil d'administration ou tout groupe de dix personnes peut soumettre une proposition à un vote par correspondance s'adressant aux membres en règle. Cette demande se fait par écrit au/à la Secrétaire et doit être assortie d'attendus. Le vote est présidé par le/la Secrétaire. La proposition et ses attendus doivent être envoyés aux membres au plus tard un mois après leur réception par le/la Secrétaire. La durée du scrutin est d'un mois après la date d'envoi. Pour être acceptée, la proposition doit recevoir l'appui de la majorité des suffrages exprimés, sauf dans le cas d'amendements aux Statuts de l'Association qui doivent recevoir l'appui d'au moins les deux tiers des suffrages exprimés.
  5. VACANCES - Le Conseil d'administration désigne les titulaires pour les postes devenus vacants. Si pour une raison quelconque un poste élu devient vacant avant l'expiration du mandat, le Conseil nommera un membre pour occuper le poste jusqu'à la prochaine Assemblée générale annuelle. Le poste sera rempli selon les procédures normales à cette Assemblée générale.
  6. MODIFICATIONS - Le Conseil d'administration ou tout groupe de dix membres de l'Association peut proposer par écrit des modifications aux règlements. Ces modifications se font selon la procédure pour soumettre une proposition en (4c) ci-dessus, à majorité simple.
  7. COTISATION
    1. La cotisation des membres comprend l'abonnement à la revue de l'Association.
    2. Les membres honoraires sont dispensés de toute cotisation.
    3. Les étudiant(e)s peuvent devenir membres de l'Association sur présentation d'une copie de leur carte d'étudiant. Les membres étudiants paient un pourcentage de la cotisation des membres réguliers fixé par le Conseil d'administration et ils ont droit à tous les privilèges des membres.
  8. ÉTABLISSEMENT DE COMITÉS AD HOC – Des Comités ad hoc peuvent être mis en place par le Conseil d'administration. Les fonctions (y compris le mandat) d'un Comité ad hoc doivent être approuvés par le Conseil d'administration. Dans le cas où un Comité ad hoc ne soumet pas de rapport à l'Assemblée général deux ans en suite, ce comité est dissout.
  9. DURÉÉ DE MANDAT POUR UN REPRÉSENTANT (ou UNE REPRÉSENTANTE) À LA FCSH – Le représentant (ou la représentante) à la FCSH est désigné par les membres du conseil d’administration pour un mandat de cinq ans et est rééligible à son poste respectif pour un deuxième mandat consécutif.

  1. CONDUCT OF MEETINGS - Meetings of the Association, including the Annual General Meeting, meetings of the Executive Council, and committee meetings, shall be governed by Robert's rules of order, or by a parliamentary procedure agreed upon by the Executive Council.
  2. CONDUCT OF ELECTIONS BY MAIL - When there is more than one nominee for an elective position in the association, elections shall be carried out as follows:
    1. No later than one month after the Annual General Meeting, the Secretary shall mail to all members in good standing a list of nominees, accompanied by a short biography provided by each nominee to the Secretary.
    2. Votes must be cast within one month of the mailing date of the ballots.
    3. The nominee with the most votes shall be elected and shall take up the duties of the position immediately.
  3. REMOVAL FROM OFFICE
    1. Persons named to an office or a committee by the Executive Council may be removed by that Council at any time.
    2. Persons holding an elective office may be removed from office at anytime, following the same procedure that is used for amendments to the constitution.
  4. MOTIONS
    1. Any member of the Association may, with the support of another member, propose a motion to the Annual General Meeting.
    2. Motions are carried if there is a majority of the members voting in favour.
    3. The Executive Council or any other group of ten people may move that a motion be voted upon by mail ballot sent to all members in good standing. Such a motion shall be made in writing to the Secretary and shall be accompanied by its explanatory "whereas" clauses. The ballot shall be organized by the Secretary. The text of the motion and its explanatory "whereas" clauses shall be sent to members no later than a month after their receipt by the Secretary. Votes must be cast within one month of the mailing date of the ballots. In order for such motions to be adopted, there must be a majority of votes cast in favour, except in the case of amendments to the Association's Constitution, which require that at least two thirds of the votes cast must be in favour.
  5. VACANCIES are filled by the Executive Council. If for any reason an elective position falls vacant before the expiration of the term of office, the Council shall appoint a member to fill the position until the next Annual General Meeting, when the position shall be filled following the normal procedure.
  6. CHANGES in these by-laws may be proposed in writing by the Executive Council or by any ten members of the Association, and shall be dealt with by a motion as in (4c) above, requiring a simple majority.
  7. MEMBERSHIP DUES
    1. Membership dues shall include the subscription to the journal of the Association.
    2. Honorary members are exempt from any membership dues.
    3. Students may become members of the Association on presentation of their student identity card. Student members shall pay a percentage of the membership fee for regular members set by the Executive Council and they are entitled to all membership privileges.
  8. CREATION OF AD HOC COMMITTEES – Ad hoc committees may be created by the Executive. Terms of reference (including Terms of Office) for a Committee must be approved by the Executive. If a report from an ad hoc committee is not filed at the AGM for two consecutive years, the committee will be disbanded.
  9. TERM OF OFFICE FOR CFHSS REPRESENTATIVE – The representative to the CFHSS shall be appointed by the Executive for a term of five years and may serve a second consecutive term.
